Wholesale Terms & Conditions

These Wholesale Terms & Conditions (“Terms”) govern all wholesale transactions, sourcing activities, and business relationships between J’s Luxe Edit (“we”, “us”, or “our”) and approved wholesale customers (“you” or “buyer”).
By applying for and using a wholesale account, placing an order request, or accepting an invoice, you agree to be bound by these Terms.
1. Scope & Applicability
These Terms apply to all wholesale orders, transactions, and sourcing activities offered by J’s Luxe Edit, including but not limited to catalogue orders, linesheet based buying, bulk offers, and custom sourcing arrangements.
These Terms apply to all approved wholesale buyers and prevail over any conflicting terms unless expressly agreed in writing.
2. Wholesale Eligibility & Account Approval
Wholesale access is available to registered businesses only and is subject to approval at our discretion. Submission of a wholesale account application does not guarantee approval.
Wholesale access is intended for independent boutiques, concept stores, and other retail businesses purchasing products for resale. Wholesale access is not available to individual consumers or end users.
We reserve the right to approve, suspend, restrict, or revoke wholesale access at any time, including where we reasonably believe that these Terms have been breached, wholesale pricing has been misused, or continued access may harm our business or retail partners.
3. Product Information & Availability
Product images, descriptions, brand references, and other information provided by us are indicative only and are subject to availability at the time of order confirmation.
Products displayed in our catalogue, shared via linesheets, offered through bulk offers, or sourced through custom sourcing are subject to availability and may change without notice due to sourcing windows, market conditions, or supplier constraints.
Availability is confirmed after an order request is submitted and prior to invoicing. We reserve the right to adjust quantities or remove items from an order where full fulfilment is not possible.
Listing of products or brands does not imply ongoing availability, exclusivity, representation, or any affiliation with such brands.
4. Orders & Order Confirmation
All wholesale orders are submitted as order requests and are subject to review by us. Submission of an order request does not constitute acceptance.
Product availability, quantities, and applicable charges are confirmed prior to invoicing.
An order is considered confirmed only upon receipt of full payment, at which point the order becomes binding and sourcing will commence in accordance with these Terms.
We reserve the right to decline, amend, or cancel any order request or issued invoice prior to payment, including where products are unavailable, sourcing is not feasible, or order requirements cannot be met.
Minimum order quantities, order values, selection limitations, or other conditions may apply depending on the sourcing method and will be communicated prior to payment.
5. Pricing & Invoicing
Wholesale pricing is communicated exclusively through our wholesale catalogue, linesheets, bulk offers, or issued invoices and is subject to availability, sourcing conditions, and market factors at the time of order review.
Prices may vary depending on the sourcing method, product availability, seasonality, order composition, and logistics considerations. All prices are subject to change prior to payment.
Product prices do not include shipping costs, insurance, duties, taxes, or any import related charges unless expressly stated. All such charges, where applicable, will be reflected separately in the final invoice or incurred at destination and are the responsibility of the buyer.
In the event of pricing errors, omissions, or adjustments arising from availability or sourcing constraints, we reserve the right to amend pricing or cancel an order request prior to payment.
6. Payment Terms
Full payment is required before goods are sourced, and orders become binding upon receipt of payment.
Payment details and accepted payment methods will be specified on the issued invoice.
Payment must be made in the invoiced currency and within the validity period stated on the invoice.
We reserve the right to cancel any unpaid invoice or order request if payment is not received within the specified timeframe.
7. Order Finality & Cancellations
All wholesale orders are sourced, reserved, or purchased specifically upon receipt of payment. As such, orders cannot be cancelled, amended, or returned once payment has been received, except as expressly stated in these Terms.
This applies to all sourcing methods, including catalogue orders, linesheet based buying, bulk offers, and custom sourcing.
8. Shipping, Delivery & Risk Transfer
Unless otherwise agreed in writing, all wholesale orders are shipped under FCA (Free Carrier) terms.
Orders may be shipped in one or multiple consignments depending on origin warehouse location or supplier. Split shipments do not constitute partial fulfilment or grounds for cancellation or refund.
Risk of loss or damage transfers to the buyer once goods are handed over to the carrier. Title passes upon payment unless otherwise agreed in writing.
Delivery timelines provided are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs authorities, or events beyond our reasonable control.
9. Shipping & Lead Times
Wholesale orders are shipped directly from Europe. Orders may be shipped in one or multiple consignments depending on origin warehouse location or supplier.
Estimated lead time is 4–5 weeks from payment confirmation, subject to product availability, sourcing method, and logistics timelines.
Delivery timelines provided are estimates only and are not guaranteed. In the event of delays, we will follow up and provide updates where reasonably possible.
10. Defective or Damaged Goods
We take reasonable care to ensure goods are checked prior to dispatch. Any claims for damaged or defective items must be reported within seven (7) days of receipt of the goods.
Claims must be accompanied by clear photographic evidence of the defect or damage, the original packaging, and relevant shipment details. Failure to provide timely notice or adequate documentation may result in the claim being rejected.
We reserve the right to assess all claims and determine the appropriate resolution at our discretion, which may include replacement (subject to availability) or refund of the affected item value.
We are not responsible for damage, loss, or defects arising from carrier handling, customs inspection, improper storage, or misuse after delivery. Buyers agree to cooperate fully and provide documentation required to support any carrier or insurance claim.
11. Returns, Refunds & Adjustments
Except as expressly stated in these Terms, all wholesale sales are final once payment has been received. Returns, exchanges, or cancellations are not permitted for reasons including, but not limited to, change of mind, over-ordering, unsold inventory, or delays caused by carriers, customs authorities, or events beyond our control.
Refunds or adjustments may be issued only where expressly provided for under these Terms, including in cases of unfulfilled items or accepted claims for defective or damaged goods. Any such refund or adjustment will be limited to the value of the affected items only.
Where applicable, refunds are processed after final order quantities are confirmed and goods have been shipped, and will be made to the original payment method or bank account at our discretion.
12. Duties, Taxes & Import Charges
All duties, taxes, and import charges incurred at destination are the responsibility of the buyer and are NOT included in wholesale pricing or shipping fees.
13. Limitation of Liability
To the fullest extent permitted by law, our liability arising out of or in connection with any wholesale order, sourcing activity, or these Terms shall be limited to the value of the affected products under the relevant order.
We shall not be liable for any indirect, incidental, consequential, or special losses, including but not limited to loss of profit, loss of business, loss of opportunity, or reputational damage, even if such losses were foreseeable.
Nothing in these Terms excludes or limits liability for matters that cannot be excluded or limited under applicable law.
14. Termination
We reserve the right to suspend or terminate wholesale access at our discretion, including in the event of breach of these Terms, misuse of wholesale pricing, or conduct that may harm our business or retail partners.
Termination or suspension does not affect any rights or obligations accrued prior to termination.
15. Communications
By applying for and maintaining a wholesale account, you agree to receive communications from us relating to your account, orders, sourcing updates, and wholesale offerings. You may opt out of non-essential communications at any time.
16. Force Majeure
We shall not be liable for any failure or delay in performance resulting from events beyond our reasonable control, including but not limited to acts of God, supply disruptions, customs delays, labour disputes, governmental actions, or carrier issues.
17. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Singapore, and the parties submit to the exclusive jurisdiction of the courts of Singapore.
